This Privacy Policy ("Privacy Policy") describes how Price360, Inc. DBA OptiCar, a Delaware C-Corporation ("OptiCar," the "Company," "we," "our," or "us"), collects, uses, discloses, retains, and protects personal information in connection with our automotive intelligence products and services, including the OptiCar vehicle reports, the OptiCar™ platform and website at opticar.ai, the CarTron™ AI assistant, and other related products, features, content, mobile applications, and services (collectively, the "Platform"). This Privacy Policy is incorporated by reference into our Terms of Use and applies to all visitors, registered users, and other persons whose personal information we process in connection with the Platform.

Please read this Privacy Policy carefully. By accessing or using the Platform, you acknowledge that you have read and understood this Privacy Policy.

1. Scope of This Privacy Policy

This Privacy Policy covers personal information that we collect through the Platform. It does not apply to (a) personal information collected by third parties through their own websites, applications, or services, even where those services are accessible through the Platform; (b) personal information that you submit directly to third parties (such as payment processors that collect payment card information directly from you); or (c) information that has been de-identified or aggregated such that it can no longer reasonably be associated with an identified or identifiable individual.

This Privacy Policy applies to personal information whether collected online, through a mobile application, by telephone, or in person, except where a different privacy notice is expressly provided.

2. Personal Information We Collect

We collect personal information from three principal sources: (a) information you provide directly, (b) information collected automatically as you use the Platform, and (c) information we receive from third parties.

2.1  Information You Provide Directly

Account Information.

When you create an Account, we collect your name, email address, password (stored in encrypted form), and, in certain cases, your telephone number, postal address, and date of birth. For Dealer Users, we collect business name, role, and contact information for authorized representatives.

Payment Information.

When you purchase a Report or other paid feature, our third-party payment processors collect your payment card number, billing address, expiration date, and card security code directly from you. We do not store full payment card information on our systems. We receive from the payment processor a transaction confirmation, the last four digits of the payment card, the card brand, the billing ZIP code, and a tokenized reference identifier for future transactions.

Vehicle Information.

When you generate a Report, we collect vehicle information you provide, including the Vehicle Identification Number ("VIN"), license plate (where you provide it), year, make, model, mileage, condition descriptors, and (for OptiCar Full Reports) photographs of the vehicle. Vehicle photographs may incidentally contain license plate numbers, dealer plates, registration stickers, vehicle interiors, surrounding locations, and other information visible to the camera at the time of capture.

CarTron™ Conversation Data.

When you interact with the CarTron™ AI assistant, we collect the prompts and queries you submit and the corresponding responses generated by the system. CarTron™ supports multiple languages, and we collect the language of interaction for service delivery and quality purposes.

Communications.

When you contact us by email, through the in-Platform support form, or by other means, we collect the content of your communication, your contact information, and any attachments or information you provide.

Marketing Preferences.

When you subscribe to our newsletter or other marketing communications, we collect your email address and, where applicable, your phone number, marketing preferences, and content interests.

2.2  Information We Collect Automatically

As you use the Platform, we and our service providers automatically collect certain technical, usage, and device information through cookies, pixel tags, server logs, software development kits, and similar technologies. This information includes:

      Device and connection information: internet protocol (IP) address, browser type and version, operating system, device identifiers, screen resolution, time zone, and language preference.

      Usage information: pages visited, features used, links clicked, search terms entered, time spent on pages, referring URLs, exit URLs, and timestamps.

      Mobile-application information: device model, application version, application performance data, crash reports, and (with your permission) device permissions you grant the application.

      Approximate location: city-level location derived from your IP address. We do not collect precise geolocation data (latitude/longitude within an area of 1,850 feet or less) unless you specifically grant the mobile application location permission.

      Cookies and similar technologies: as described in Section 6 below.

2.3  Information We Receive From Third Parties

We receive personal information from third parties as follows:

      Vehicle history data providers, auction houses, dealer networks, insurance data sources, and other licensed automotive data providers, who supply us with vehicle history information keyed to the VIN you submit. Some of this information may indirectly relate to prior owners of the vehicle (for example, accident records or odometer readings).

      Pricing and market valuation data sources, who supply retail, wholesale, and transaction data.

      Payment processors, who provide payment confirmation and risk-related signals.

      Identity verification, fraud-detection, and security service providers.

      Advertising and analytics partners, who supply information about how users interact with our advertising and other content, including conversion and attribution data.

      Social media platforms, where you choose to connect your social media account or sign in using a social media credential.

      Public records (including, where lawful, motor vehicle registration records), but only as licensed through compliant third-party providers and consistent with the federal Driver's Privacy Protection Act, 18 U.S.C. §§ 2721–2725.

3. How We Use Personal Information

We use personal information for the following purposes:

3.1  To Provide and Operate the Platform.

      Register and maintain your Account.

      Generate OptiCar Reports, AI Inspection results, Market Valuations, and other outputs you request.

      Power the CarTron™ AI assistant and respond to your queries.

      Process payments and issue refunds, including under the Money-Back Guarantee.

      Deliver Reports and communications to you.

      Authenticate your identity and secure your Account.

3.2  To Communicate With You.

      Respond to support inquiries and customer service requests.

      Send transactional communications relating to your Account, purchases, refunds, and the operation of the Platform.

      Where you have consented or where permitted by law, send marketing communications about our products, features, and offers (you may opt out at any time as described in Section 7).

3.3  To Improve and Develop the Platform.

      Analyze how the Platform is used and how Reports are generated.

      Conduct internal research, product testing, and performance measurement.

      Develop new features, products, and services.

      Train, evaluate, and improve our machine-learning models and other AI systems, as further described in Section 4.

3.4  For Security, Fraud Prevention, and Legal Compliance.

      Detect, investigate, and prevent fraud, abuse, security incidents, and other unlawful activity.

      Comply with Applicable Law, including responses to lawful subpoenas, court orders, and other legal process.

      Establish, exercise, or defend legal claims; enforce our Terms of Use; and protect our rights, property, and the safety of our users and others.

      Comply with industry standards and our policies.

3.5  For Advertising and Analytics.

      Measure the effectiveness of our advertising and promotional campaigns.

      Provide and measure cross-context behavioral advertising, including on third-party platforms (you may opt out as described in Section 8).

      Personalize content and recommendations on the Platform based on your interests and use of the Platform.

3.6  With Your Consent or at Your Direction.

We use personal information for any other purpose for which we have obtained your consent or that is undertaken at your direction.

4. Artificial Intelligence Training and Model Development

Our business depends on the continuous improvement of machine-learning models used to generate AI Inspections, market valuations, the CarTron™ AI assistant, and other Platform features. This Section 4 describes our practices in connection with that development.

4.1  What We Use for Training.

We may use the following categories of information to train, evaluate, and improve our machine-learning models, on a basis that is, to the extent practicable, de-identified and aggregated with other data:

      Vehicle photographs submitted in connection with AI Inspections, in particular those used to improve damage detection, condition categorization, and reconditioning cost estimation.

      Vehicle information you provide (year, make, model, mileage, condition descriptors).

      Vehicle history data, where its licensing terms permit such use.

      CarTron™ conversation data, used to improve natural-language understanding, response quality, and language coverage.

      Aggregated and de-identified Platform usage data.

4.2  What We Do Not Use for Training.

      Payment card data, payment account credentials, and other payment-related information.

      Government identifiers (such as Social Security numbers, driver's license numbers), if and when collected.

      Health information, biometric information beyond what is incidentally visible in vehicle photographs, and other categories of sensitive personal information as defined under Applicable Law.

      The content of support communications between you and our personnel, except where you specifically consent to use of that content for training purposes.

4.3  De-Identification.

Before using photographs and other potentially identifying content for training, we apply technical and organizational measures intended to remove or obscure direct identifiers (such as license plates and faces of any persons incidentally captured), reduce association with individual accounts, and limit the ability to re-identify individuals from training inputs. We use commercially reasonable efforts in this regard but do not guarantee that all incidental identifiers will be removed in every case.

4.4  Opt-Out of AI Training Use.

You may opt out of the use of your User Content for AI training purposes by (a) adjusting the relevant control in your Account settings, where such a control is provided, or (b) sending a written request to privacy@price360.ai with the subject line "AI Training Opt-Out." Opting out applies on a going-forward basis; we cannot reverse training that has already incorporated previously submitted content, but we will not include opted-out content in subsequent training runs.

4.5  No Automated Decision-Making with Legal Effects.

We do not use solely automated processing to make decisions that produce legal effects concerning you or that significantly affect you. The Reports we generate are informational outputs and do not, by themselves, constitute decisions about credit, employment, insurance, housing, or similar matters.

5. How We Disclose Personal Information

We disclose personal information in the following circumstances:

5.1  Service Providers.

We share personal information with third parties that provide services on our behalf and that are contractually limited to using personal information only for purposes of providing those services. Categories of service providers include cloud hosting and storage providers, payment processors, identity verification and fraud-prevention providers, customer support platforms, email and SMS delivery providers, analytics providers, security service providers, and professional advisors (such as attorneys, accountants, and auditors).

5.2  Vehicle Data Providers.

To generate a Report, we transmit the VIN and certain related information to vehicle history, pricing, and valuation data providers in order to query and receive vehicle-specific data. Those providers process the VIN under their own privacy practices and data licensing terms.

5.3  Advertising and Analytics Partners.

Subject to your rights to opt out as described in Sections 7 and 8, we may share certain personal information (typically including device identifiers, cookie IDs, IP address, and information about your interaction with our advertising and the Platform) with advertising and analytics partners to measure advertising performance and to deliver cross-context behavioral advertising. Some such sharing may constitute a "sale" or "share" of personal information under California, Colorado, or other state privacy laws.

5.4  Business Transfers.

If we are involved in a merger, acquisition, financing, reorganization, bankruptcy, receivership, sale of company assets, or other corporate transaction, personal information may be transferred or disclosed to potential or actual acquirers, investors, advisors, and similar parties as part of due diligence or as part of the transferred business. Any successor will be required to honor the commitments made in this Privacy Policy or to provide notice of material changes.

5.5  Legal, Compliance, and Safety.

We may disclose personal information when we believe in good faith that disclosure is necessary to: (a) comply with a legal obligation, including subpoenas, court orders, and other legal process; (b) respond to a request from a government authority or regulator; (c) enforce our Terms of Use; (d) protect the safety, rights, or property of Price360, Inc. DBA OptiCar, our users, or others; or (e) prevent or investigate possible wrongdoing in connection with the Platform.

5.6  With Your Consent or at Your Direction.

We disclose personal information to third parties for any other purpose for which we have obtained your consent or that is undertaken at your direction.

5.7  Aggregated and De-Identified Information.

We may share aggregated, anonymized, or de-identified information that does not identify any specific individual for any business purpose without restriction.

6. Cookies and Similar Technologies

We and our service providers use cookies and similar tracking technologies, including pixel tags, web beacons, software development kits, and local storage objects, to operate the Platform, remember your preferences, measure performance, and deliver advertising.

6.1  Categories of Cookies and Similar Technologies.

      Strictly necessary: required to operate the Platform, authenticate users, and maintain session security.

      Functional: remember preferences and settings (such as language or display options).

      Analytics: help us understand how the Platform is used and how to improve it.

      Advertising: deliver, measure, and personalize advertising on the Platform and on third-party services.

6.2  Cookie Management.

Most web browsers allow you to control cookies through their settings. You may also use the cookie consent banner displayed on the Platform (where applicable) to manage your cookie preferences. Note that disabling certain cookies, in particular strictly necessary cookies, will impair the functionality of the Platform.

6.3  Do Not Track and Global Privacy Control.

Different browsers offer different mechanisms for communicating tracking preferences. Because there is no industry standard for responding to "Do Not Track" signals, we do not currently respond to such signals. However, we do honor opt-out preference signals communicated through the Global Privacy Control ("GPC") for users whose state law (including California, Colorado, and Connecticut) recognizes those signals as a valid opt-out of sale or sharing for cross-context behavioral advertising.

7. Marketing Communications and Communication Preferences

7.1  Email Marketing.

You may opt out of receiving marketing emails by clicking the unsubscribe link contained in each marketing email or by emailing privacy@price360.ai. Even if you opt out of marketing emails, we will still send you transactional communications relating to your Account, purchases, refunds, and other Platform operations.

7.2  SMS and Push Notifications.

Where you have provided your phone number and consented to receive SMS messages, you may opt out at any time by replying STOP to any marketing SMS. Mobile carrier message and data rates may apply. You may control push notifications from our mobile applications through your device settings.

7.3  Telephone Calls.

If we contact you by telephone for marketing purposes (including through auto-dialed or pre-recorded calls), we do so in accordance with the Telephone Consumer Protection Act, 47 U.S.C. § 227, and only with your prior express consent where required. You may revoke any such consent at any time.

8. Your Privacy Rights

Depending on the U.S. state in which you reside, you may have certain rights under Applicable Law with respect to your personal information. This Section 8 describes those rights and how to exercise them. Where Applicable Law affords a right, we will honor it regardless of whether it is specifically enumerated below.

8.1  Rights Available to California Residents (CCPA/CPRA)

Pursuant to the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020 (collectively, the "CCPA"), California residents have the following rights:

Right to Know.

You have the right to request that we disclose: (a) the categories of personal information we have collected about you; (b) the categories of sources from which we collected personal information; (c) the business or commercial purposes for collecting, selling, or sharing personal information; (d) the categories of third parties to whom we disclose personal information; and (e) the specific pieces of personal information we have collected about you.

Right to Delete.

You have the right to request that we delete personal information that we have collected from you, subject to certain exceptions provided by the CCPA (for example, where the personal information is necessary to complete a transaction, detect security incidents, comply with a legal obligation, or exercise free speech).

Right to Correct.

You have the right to request that we correct inaccurate personal information that we maintain about you.

Right to Opt Out of Sale or Sharing.

You have the right to opt out of the "sale" or "sharing" (for purposes of cross-context behavioral advertising) of your personal information. To exercise this right, please use the "Do Not Sell or Share My Personal Information" link in the Platform footer, send an email to privacy@price360.ai, or transmit an opt-out preference signal through the Global Privacy Control.

Right to Limit Use of Sensitive Personal Information.

To the extent we process sensitive personal information for purposes other than those expressly permitted under CCPA § 7027(m), you have the right to direct us to limit such processing. As of the Effective Date, we do not process sensitive personal information for purposes that would trigger a right to limit.

Right to Non-Discrimination.

We will not discriminate against you for exercising any of these rights. We will not deny you services, charge different prices, or provide a different level of quality because you exercised your rights, although where the value of a financial incentive is dependent on the use of certain personal information, the level of service or value may reflect that distinction in a manner permitted by law.

Categories of Personal Information Collected, Disclosed, Sold, and Shared.

The categories of personal information we have collected, disclosed for a business purpose, and sold or shared in the preceding twelve months are set forth in the Appendix to this Privacy Policy.

How to Exercise Your CCPA Rights.

You may exercise your CCPA rights by (a) submitting a request through the rights request form available at opticar.ai/privacy-rights, (b) emailing us at privacy@price360.ai, or (c) calling our toll-free privacy line at [INSERT TOLL-FREE NUMBER]. We will confirm receipt of your request within ten (10) business days and substantively respond within forty-five (45) days, subject to a one-time extension of an additional forty-five (45) days where reasonably necessary and with notice to you.

Verification.

To protect your information, we will take reasonable steps to verify your identity before responding to a rights request. The verification standard depends on the sensitivity of the personal information at issue and the risk of harm from unauthorized disclosure.

Authorized Agents.

You may designate an authorized agent to make a CCPA request on your behalf. We will require: (a) the agent to provide written authorization signed by you, or a valid power of attorney; and (b) the agent or you to verify your identity in accordance with our verification procedures.

Appeals.

If we deny your CCPA request in whole or in part, you may appeal our decision by replying to our denial notice or by emailing privacy@price360.ai with the subject line "Appeal." We will respond to your appeal within forty-five (45) days. If we deny your appeal, you may file a complaint with the California Privacy Protection Agency or the California Attorney General.

"Shine the Light" Rights.

California Civil Code § 1798.83 permits California residents to request information regarding our disclosure of personal information to third parties for those third parties' direct marketing purposes. To make such a request, please email privacy@price360.ai with the subject line "Shine the Light."

8.2  Rights Available in Other U.S. States

Residents of Virginia, Colorado, Connecticut, Utah, Texas, Oregon, Montana, Iowa, Delaware, New Hampshire, Minnesota, Maryland, Tennessee, Indiana, New Jersey, Kentucky, Rhode Island, and certain other U.S. states have privacy rights under their state's privacy laws that are generally similar to the rights described in Section 8.1, although specific rights and procedures vary by state. Subject to the specifics of each statute and any applicable exceptions, residents of these states generally have the following rights:

      The right to know whether we process personal information about you, and to access that personal information.

      The right to correct inaccurate personal information.

      The right to delete personal information.

      The right to obtain a copy of personal information in a portable format.

      The right to opt out of the processing of personal information for purposes of targeted advertising, the sale of personal information, or profiling in furtherance of decisions producing legal or similarly significant effects.

      In certain states (including Colorado, Connecticut, and Texas), the right to use a universal opt-out mechanism such as the Global Privacy Control.

      In certain states, the right to limit the processing of sensitive personal information.

      The right to appeal any denial of a rights request.

To exercise any of these rights, you may submit a request through the methods described in Section 8.1 or by emailing privacy@price360.ai. We will respond within the time periods required by your state's privacy law.

8.3  Nevada Residents.

Nevada residents have the right under Nevada Revised Statutes § 603A.340 to opt out of the future sale of certain personal information to third parties. To exercise this right, please email privacy@price360.ai with the subject line "Nevada Opt-Out."

8.4  Other Rights.

If you are a resident of a jurisdiction not listed above and Applicable Law affords you privacy rights with respect to personal information we process, you may exercise those rights by emailing privacy@price360.ai.

9. Data Security

We maintain administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, use, alteration, and disclosure. These safeguards include encryption of personal information in transit and at rest where appropriate, access controls, security monitoring, employee training, and vendor diligence.

No method of electronic transmission or storage is one hundred percent secure. We cannot guarantee the absolute security of personal information. You are responsible for safeguarding your Account credentials, and you should notify us promptly at security@price360.ai of any actual or suspected unauthorized use of your Account.

If we become aware of a security incident affecting your personal information, we will notify you and applicable regulators as required by Applicable Law.

10. Data Retention

We retain personal information for as long as reasonably necessary to fulfill the purposes described in this Privacy Policy, including providing the Platform to you, maintaining the integrity of historical Reports, complying with legal obligations, resolving disputes, enforcing our agreements, and protecting our rights.

Retention periods depend on the nature of the personal information and the purpose of processing. General guidelines include:

      Account information: retained for the duration of your Account and for a reasonable period thereafter (typically two to seven years) for accounting, tax, audit, and legal-defense purposes.

      Reports and vehicle data: retained for a period sufficient to allow you to access historical Reports and to comply with applicable record-retention obligations.

      Payment transaction records: retained for the period required by applicable accounting and tax laws (typically seven years).

      CarTron™ conversation logs: retained on an identifiable basis for the period necessary to provide and improve the service, after which they are de-identified or deleted.

      Marketing data: retained until you opt out, after which we maintain a suppression record indefinitely to honor your opt-out.

      Security logs and incident records: retained for the period necessary for security investigations and legal compliance.

Where personal information is no longer required, we delete or de-identify it in accordance with our data-retention schedule and Applicable Law.

11. Children's Privacy

The Platform is not directed to children under thirteen (13) years of age, and we do not knowingly collect personal information from children under thirteen (13). Our Terms of Use require that all Users be at least eighteen (18) years of age. If we learn that we have collected personal information from a child under thirteen, we will promptly delete that information.

If you are a parent or guardian and believe that a child has provided us with personal information without your consent, please contact us at privacy@price360.ai, and we will take appropriate action.

12. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or applications operated by parties other than Price360, Inc. DBA OptiCar. We are not responsible for the privacy practices of such third parties. We recommend that you review the privacy notices of any third-party service before providing personal information to it.

13. Vehicle-Specific Privacy Considerations

Because our products process vehicle data, certain privacy considerations specific to that data warrant additional disclosure:

13.1  VINs.

A Vehicle Identification Number is a unique identifier assigned to a motor vehicle. Although a VIN identifies a vehicle rather than a person directly, a VIN can in certain contexts be linked to information about prior or current owners through public records, registration data, and other sources. We treat VINs as personal information in our handling, transmission, and security practices, including when processing requests under Applicable Law.

13.2  Vehicle Photographs.

Photographs you submit may incidentally include license plate numbers, dealer plates, registration stickers, interior contents, persons in or around the vehicle, addresses or street identifiers visible in the background, and other information identifying you or third parties. By submitting photographs, you confirm that you have a lawful basis to submit them and that you understand they may be used as described in this Privacy Policy. We apply commercially reasonable measures to limit incidental personal information in our use of photographs for AI training as described in Section 4.

13.3  Vehicle History Data.

Vehicle history data we receive from third-party providers may include information about prior owners or operators of the vehicle. We process such information solely to generate the Report you have requested. To the extent such information relates to you (for example, where you are a prior owner of a vehicle reported on through the Platform), you may exercise your rights under Section 8 with respect to such information.

13.4  Driver's Privacy Protection Act.

The federal Driver's Privacy Protection Act ("DPPA"), 18 U.S.C. §§ 2721–2725, restricts the disclosure and use of personal information from motor vehicle records. Where we receive information sourced from motor vehicle records, we do so only through DPPA-compliant licensed providers and use such information only for permissible purposes.

14. International Users

Price360, Inc. DBA OptiCar is based in the United States, and personal information is stored and processed in the United States. If you access the Platform from outside the United States, you understand that your personal information may be transferred to, stored in, and processed in the United States, which may have data-protection laws that differ from those of your jurisdiction. By using the Platform, you consent to such transfer, storage, and processing.

As of the Effective Date, the Platform is not intended for users located in the European Economic Area, the United Kingdom, or Switzerland, and we do not knowingly process the personal information of such individuals in connection with the Platform.

15. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. The "Effective Date" and "Last Updated" dates at the top of this Privacy Policy indicate when it was last revised. If we make material changes to this Privacy Policy, we will provide notice through the Platform, by email, or by other reasonable means at least ten (10) days before the modified Privacy Policy takes effect, except that changes for legal, regulatory, or security reasons may take effect immediately. We encourage you to review this Privacy Policy periodically.
